Terms of Use Agreement – Jobs In Data Spółka z Ograniczoną Odpowiedzialnością

General provisions

These Terms of use constitute a legally binding agreement made between you, whether personally or on behalf of an business entity you represent ("you", "User"), and Jobs In Data Spółka z Ograniczoną Odpowiedzialnością with its' registered office in Poland, Warsaw (01-248), Jana Kazimierza 28/123 str., email: [email protected] ("we", "us", "Company"), concerning your access to and use of our website available at jobs-in-data.com and all website-related services, including the content and code (collectively, the "Site").

Agreement between you and us on the use of services provided electronically is concluded for an indefinite period of time.

You agree that by accessing the Site and using resources provided therein, you have read, understood, and agree to be bound by all of these Terms of use. If you do not agree with all of these Terms of use or have no legal capacity to be bound to them, then you are expressly prohibited from using the Site and resources provided therein, and you must discontinue the use immediately.

If you are using this Site or its services as the representative of an employer, recruiter, staffing agency, headhunter, or other business, you represent that you have the authority to bind such employer, recruiter, staffing agency, headhunter, or other business entity to these Terms of use, and by using the Site or our services, you agree that such employer, recruiter, staffing agency, headhunter, or other business entity is bound by these Terms of use.

These Terms of use, your use of the Site, as well as contracts concluded with us are governed by and construed in accordance with laws of Poland. Those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

In order to use the Site correctly, you must meet the following minimum technical requirements:
- a. a device with internet access;
- b. access to e-mail;
- c. latest version of web browser with cookies and Java Script support.

Services provided electronically through the Site ("Services") include in particular:
- a. maintenance of an account;
- b. the ability to configure a candidate profile
- c. searching for job offers;
- d. making the profile available for public viewing to other users;
- e. posting and promoting job offers;
- f. Salary Calculator;
- g. Jobs Offers Feeds and newsletter;
- h. Blog.

The basic range of Services is available free of charge. Some of the Services offered for wider or more effective use require subscription of a Premium plan or payment of a dedicated fee.

Provision of Services inevitably involves the processing of personal data, including cookies. You can find detailed information on the processing of personal data in our Privacy Policy.

It is forbidden to use the Services, the Site and related content in a manner contrary to these Terms of use, applicable laws, good morals or in a manner violating the personal rights of third parties. It is also forbidden to take actions that violate our interests and to post false or misleading content.
Registration

User is entitled to have only one account in the Site at the same time.

While creating an account, the User is obliged to enter true and current data and update them accordingly. We are not responsible for events resulting from the lack of current User data.

As part of the use of the account maintenance service, the User shall be entitled in particular to:
- a. use the Site Services as set out in para. 7 above,
- b. modify the entered personal data,
- c. reset the password to the account, in case of its loss.

We may refuse to allow you to use a username or data that impersonates someone else, may be illegal, may be protected by trademark or other proprietary rights law, is vulgar or otherwise offensive, or may cause confusion, as determined by us in our sole discretion. You will be responsible for the confidentiality and use of your password and agree not to distribute, transfer, or resell your use of or access to the Site to any third party.

YOU ARE SOLELY AND ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR USERNAME AND PASSWORD AND SOLELY AND ENTIRELY RESPONSIBLE FOR ANY AND ALL ACTIVITIES THAT ARE CONDUCTED THROUGH YOUR ACCOUNT.

If you are a User who has reason to believe that your account with us is no longer secure, you must promptly change your password by updating your account information from the "Account Settings" page of the Site and immediately notifying us of the problem via email addressed to [email protected].

As a User, you may delete your Account at any time by using the function available in the "Account Settings" page.

Deletion of the account shall result in termination of the agreement for the provision of Services.

In case of lack account use for a period of 3 years, we reserve the right to delete Account, due to data protection considerations.
Candidate profile

Once you're registered, if you are a job seeker, you can complete your candidate profile with data regarding your work experience.

In order to increase the effectiveness of your job search with the help of the Site, you can set your candidate profile visibility option as "visible" or "public".

If you choose to set your profile as "visible", you acknowledge and agree that headhunters and recruiters may search your data and contact you directly using your contact data. These headhunters are expected to use your data responsibly and in accordance with applicable data protection laws, including but not limited to GDPR. However, the Company does not control the conduct of these headhunters and cannot be held responsible for their actions.

If you choose to set your profile as "public", you acknowledge and agree that data you put on your profile may be available in a public manner to any visitor on our Site and your profile.

You acknowledge that while the Company facilitates the connection between candidates and recruiters and headhunters, it does not guarantee the outcome of any such engagement, nor does it endorse or validate the legitimacy of the recruiters.

Therefore, having above in regard, be very careful about the data you fill out on your profile and that you provide during your interview with recruiters and headhunters.
YOU ARE SOLELY RESPONSIBLE FOR THE DATA YOU PUT ON OUR PLATFORM AND FOR ITS FUTHER USE BY THIRD PERSONS AND ENTITIES.
Jobs postings, offers feeds and newsletter

Using Site search engine, you can browse available jobs postings and sort them based on certain provided criteria.

If you are a professional, i.e. employer, recruiter, staffing agency, headhunter, or other business, you can purchase the service of promoting job posting under the conditions indicated on the Site. Promotion involves highlighting the job posting and placing it at the top of the selected listings of postings. Promotion allows you to increase the visibility of your job posting and the number of unique views, but by no means guarantees that you will find the right candidates or establish a contract.

As part of the Services, we offer Jobs offers feeds which is a newsletter providing you with up-to-date listings of job openings selected based on the criteria available to set.

Full use of the described Services (more job feeds, more job offers per week and higher newsletter delivery frequency as stated at the Site) is available on the Premium Plan.

By using search engine, jobs offers feeds and subscribing to a newsletter, you agree to receive these communications from us and acknowledge that the content provided is for informational purposes only and does not guarantee job placement or employment opportunities.

We are not responsible for the accuracy, availability, or completeness of the job listings, as the job openings are controlled by the respective companies. We do not have control over whether these job openings are still available at the time they appear on the Site, or newsletter is sent.
Subscription

We offer a Premium Plan Subscription that guarantees wider access to some of the Services available through the Site.

Registration is required to purchase Subscription and manage Subscription.

Each successive Subscription period starts automatically on the first day after the end of the previous period (Subscription renewal).

Unsubscribing of Premium Plan is done according to the rules described in the Resignation – withdrawal from the agreement section below.

Payment of the Subscription price shall be made on the date of purchase and thereafter on each Subscription renewal date, on the dates specified in the Subscription plan.

Subscription requires an active service in at least one of the payment systems indicated on Site, allowing the payment operator to periodically debit the price of the Subscription plan from the User's payment card or bank account, according to the payment method selected.

Upon Subscription, the User agrees to provide, for the duration of the Agreement, sufficient funds to make cyclic payments of the Subscription price, in the bank account used by the User for billing.

If payment is not made on the Subscription renewal date, in particular if payment is rejected by the User's payment card issuer due to insufficient funds, the Subscription shall expire.

User may cancel further Subscription before the end of the current billing period for which payment has been made. Cancellation of the Subscription is done from the Customer's Account on the Site.

We reserve the right to terminate the Subscription by the end of the current billing period, effective at the end of such period.
Prices and payments

All prices indicated on the Site are gross prices and include applicable taxes.

The User may pay the price through the selected online payment operator.

Available payment methods are indicated each time during making a purchase. We reserve the right to temporarily exclude the use of particular payment methods, in particular due to reasons on the part of third parties, including technical failures. When making a purchase, you may be asked by us or the applicable merchant or service provider to supply certain information, including but not limited to credit card or other information.

Payment operators are separate entities from JOBS IN DATA. The use of payment methods operated by them is based on separate agreements and regulations issued by these entities.
Resignation – withdrawal from the Agreement and termination

You can terminate the agreement binding us at any time,

The right of withdrawal and refund shall not apply in the case of paid Services, if we have performed the Service in full with the express and prior consent of the User, who has been informed and acknowledged prior to the performance, that after the performance, the right of withdrawal shall not apply.

The above means that the User may cancel paid Services at any time, but:
- a. in the case of Subscriptions and jobs postings promotion, the Service will be provided until the end of the billing period.
- b. payments made are non-refundable: we do not refund funds or give credits for not using the Service in full, nor for unused content offered on our Site.

In order to resign from paid Services, you must go to the "Account" page and follow the instructions provided there for cancellation.

In order to withdraw completely from the agreement and delete your account, please use deletion function available in the "Account Settings" page.
Complaints
-
If you are a consumer, you have consumer rights in connection with your use of the Services appropriate to the jurisdiction in which you are located.

If you are EU-based consumer, if the Service you receive is, in your opinion, not in conformity with the Agreement, you have the right to demand that we bring the Service into conformity with the Agreement and, in cases specified by applicable consumer laws, also to submit a statement to reduce the price of the Service or to withdraw from the Agreement.

Regardless of where you use the Service, if you would like to make a complaint about the Service, please contact us by e-mail at [email protected] and we will do our best to meet your expectations. All complaints should be sent to us in documented form, preferably to the address indicated in section 1 above, by e-mail or traditional mail. The complaint should include:
- Your first and last name,
- your mailing address and e-mail address,
- Description of the complaint (e.g. to what extent the order has not been fulfilled correctly).
- Expected state after settling the complaint.
Complaints will be considered within 14 days of their receipt. The answer will be sent to the e-mail address provided by you.

We may request you to provide information necessary to solve the request, specifying a period not shorter than 7 days and the scope of required information, with the instruction that failure to complete the request within the specified period will result in the request not being considered. After the expiry of the designated deadline, the complaint shall not be considered.

However, we may refuse to comply with your request if bringing the Service into compliance with the Agreement proves impossible or would require excessive costs for us.

EU Consumers enjoy possibilities of using out-of-court complaint and redress procedures. If you wish to follow such procedure, please contact us so we might suggest a procedure appropriate for your case. Consumers have the following exemplary out-of-court complaint and redress procedures:
- application for out-of-court dispute resolution to a consumer arbitration court
- application for out-of-court dispute resolution at online ODR platform for resolving consumer disputes at the EU level, available at address http://ec.europa.eu/consumers/odr. The ODR platform is a multilingual website providing complex services for consumers and entrepreneurs seeking out-of-court settlement of a dispute regarding contractual obligations arising from an online sales contract or a contract for the provision of services.
Ownership and intellectual property rights

The Site, including all pages within and all code related thereto, is the property of Jobs In Data Spółka z Ograniczoną Odpowiedzialnością. No portion of the materials or code on these pages or anywhere on the Site may be reprinted or republished (other than as is necessary to view the page on your monitor) in any form without the express written permission of the Company.

The following are trademarks and/or service marks owned by the Company that are not yet registered: Jobs-In-Data.com™, JOBS IN DATA™ and the Jobs In Data logo. All other trademarks and/or service marks used on this Site are the trademarks and/or service marks of their respective owners.

The Site is owned and operated by us in conjunction with others pursuant to contractual arrangements. Unauthorized use of the materials on the Site may violate copyright, trademark, patent, and other laws and is prohibited.

The Site, all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of Poland, foreign jurisdictions, and international conventions.

Provided that you are eligible to use the Site, you are granted a limited license to access and use the Site and to search through any portion of the Content to which you have properly gained access solely for your personal and commercial use, unless stated otherwise. Commercial use includes only the use of Content to seek job applicants and conduct professional recruitment activities.

We reserve all rights not expressly granted to you in and to the Site, the Content and the Marks.

If you have a good faith belief that materials hosted by us infringe your copyright, you may send us a notice requesting that the material be removed, or access to it blocked.

Licensing of posted content. Because our designees and we host job boards, post advertisements and host other forums found on the Site and elsewhere and, therefore, redistribute materials you give us, we require certain rights in those materials.

You acknowledge that by sending or transmitting to us resources, information, ideas, notes, concepts, trademarks, service marks, or other materials (including, but not limited to, job postings) or by posting such content to any area of the Site, you grant us and our designees a worldwide, non-exclusive, sublicensable (through multiple tiers), assignable, royalty-free, perpetual, irrevocable right to link to, reproduce, distribute (through multiple tiers), adapt, create derivative works of, publicly perform, publicly display, digitally perform, or otherwise use such Content in any media now known or hereafter developed.

You hereby grant the Company permission to display logo, trademarks, and company name on the Site and in press and other public releases or filings. Further, by submitting Content to the Company, you represent that you have the authority to grant such rights to the Company.

PLEASE NOTE THAT YOU RETAIN OWNERSHIP OF ANY COPYRIGHTS, TRADEMARKS, AND SERVICE MARKS IN ANY CONTENT YOU SUBMIT.

The Company does not evaluate or censor the resumes, job listings, advertisements, company information, events, or other information posted to the Site. Moreover, the Company is not involved in the actual transaction, if any, between potential employers and candidates, or potential buyers and sellers, or between any other users of the Site. Consequently, we have no control over the quality, safety, legality, truth, or accuracy of the job listings or resumes, advertisements, company information, events, or other information posted to the Site, or the ability of employers to hire candidates, or the ability of candidates to fill job openings.

Because user authentication on the Internet is difficult, the Company cannot and does not confirm that users are who they claim to be. Because we do not and cannot be involved in user-to-user transactions or control the behavior of the Site's users, in the event that you have a dispute with one or more Site users, you release Jobs In Data Spółka z Ograniczoną Odpowiedzialnością (and its subsidiaries, affiliates, agents, and employees) from all claims, demands, and damages (actual and consequential, direct and indirect) of any kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes. You assume all risks related to dealing with other users with whom you have had contact through the Site.

The Company neither warrants nor guarantees that a resume, job posting, advertisement, company profile, event, or any other information you post to the Site will be viewed by any specific number of users, or that a resume, job posting, advertisement, event, company profile, or any other information you post to the Site will be viewed by any user. We are not to be considered as an employer or broker with respect to your use of the Site, and we shall not be responsible for any employment or other decisions made by any entity posting job listings or resumes or any other information to the Site.

There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of use or use of the Site. You agree that these Terms of use will not be construed against us by virtue of having drafted them.
Limitation of Liability

EXCEPT AS OTHERWISE PROVIDED BY APPLICABLE LAW, NEITHER JOBS IN DATA SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ NOR ITS SUBSIDIARIES, AFFILIATES, SUPPLIERS, ADVERTISERS, AGENTS, OR SPONSORS ARE RESPONSIBLE OR LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE AND/OR CONTENT CONTAINED ON THE SITE, OR ANY PRODUCT OR SERVICE PURCHASED THROUGH THE SITE. If you use Jobs In Data as a professional, we assume no responsibility or liability for any personnel selected by your company. Selection, retention, or hire of any individual or entity is based solely on your company's investigation, verification, and determination that such hire is suitable for your company's purposes.

Your company agrees to and will hold the Company harmless from any claims, damages, or losses incurred by your company or any other party as a result of your use of the Jobs In Data system.

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Site and Site-related services.

The Company has no obligation to monitor the Site or Site-related services, including any forum, or any materials that you or other third parties transmit or post onto the Site. However, you acknowledge and agree that the Company has the right (but not the obligation) to monitor the Site and Site-related services, including any forum, and the materials you transmit or post, to alter or remove any such materials (including, without limitation, any posting to the Site), and to disclose such materials and the circumstances surrounding their transmission to any third party in order to operate the Site properly, to protect itself, its sponsors, its registered users, and visitors, and to comply with legal obligations or governmental requests. The Company reserves the right to refuse to post or to remove any information or materials, in whole or in part, that it deems in its sole discretion to be unacceptable, offensive, or in violation of this Agreement. The Company also reserves the right to prohibit any user who, in the Company's sole discretion, violates the Code of Conduct or other terms of this Agreement from using the Site and related services. Such prohibition may occur without notice to the user.
Indemnification

Although the Site is accessible worldwide, not all products or services discussed, referenced, or made available on the Site are available to all persons or in all geographic locations or jurisdictions. We make no representation that materials on the Site are appropriate or available for use in all jurisdictions.

The Company reserves the right to limit the availability of the Site and/or the provision of any product or service described thereon to any person, geographic area, or jurisdiction it so desires at any time and in our sole discretion and to limit the quantities of any such product or service that we provide. You agree to indemnify us, our officers, directors, employees, and agents from and against all claims, damages, losses, costs (including reasonable legal and other professional fees), or other expenses that arise directly or indirectly out of or from:
- a. your negligence;
- b. willful misconduct;
- c. violation of the Code of Conduct;
- d. misuse by you of the Site or Site-related services, including Processing of Personal Data (as defined below);
- e. fraud;
- f. breach of third-party intellectual property rights.
Code of Conduct (User representations)
- While using the Site or Site-related services, you agree not to do any of the following without our prior written authorization:
- Post any inaccurate, untimely, stale, incomplete, or misleading information.
- Post any employment opportunity or requirements that are inaccurate or not available with a verifiable company that is directly represented by your office.
- Key code (by overuse of a skill set, term, or definition within a job posting, profile, resume, or otherwise in an effort to gain priority placement of a posting), copy other job postings as your own, post the same position multiple times on the Site, or post multiple positions within one posting.
- Allow job postings or employment requirements to remain posted on the Site for more than 24 hours after they are no longer viable or valid. To the extent that a position is placed on "hold" or is otherwise not available for immediate placement, the posting must be removed from the Site until such time as the position is a viable opening.
- Place any contact information within a job posting that is different from or in addition to contact information provided when subscribing to the Jobs In Data service.
- Post any employment opportunity that does not contain a company URL, e-mail address, or "apply online" application.
- Place any content within the job details of a job posting that directs Jobs In Data job seekers to apply directly via an email address or any other method that circumvents the Jobs In Data "Apply" link.
- Allow advertisements to remain posted on the Site after they are no longer available or valid.
- Post personal websites, including without limitation resume sites, to the Jobs In Data Company Directory.
- Resell or make available to any person not expressly licensed by Jobs In Data, whether via phone, fax, e-mail, mail, or any other medium, any of the Jobs In Data services or any information obtained therefrom, including without limitation the resumes or candidate information.
- Share passwords, login information, or named user identification or otherwise allow multiple offices or users to access the Jobs In Data service on a basis that is other than what was originally subscribed for. A named user is defined as one unique individual user with one unique password. An office is defined as a location where a named user routinely accesses or uses the Jobs In Data service under express license from Jobs In Data.
- Use any search engine, software, tool, electronic storage or retrieval device, agent, or other device or mechanism, including without limitation browsers, spiders, robots, avatars, or intelligent agents (collectively "Devices") that is not approved by Jobs In Data to navigate, search, or store information from the Site. Approved Devices include those made available by Jobs In Data on the Site, or other generally available third-party web browsers, e.g., Mozilla Firefox, Google Chrome, Microsoft Internet Explorer, or generally available search engines, such as Google or Bing.
- Engage in spamming, flooding, soliciting, or mass marketing via e-mail, direct mail, telephone, or otherwise to Jobs In Data users.
- Express or imply that any statements you make are endorsed by us.
- Impersonate any person or entity, including, without limitation, a Jobs In Data employee or agent, a user of Jobs In Data's services, including a candidate, placement specialist, or an employer, or otherwise misrepresent your affiliation with any person or entity.
- Respond to a job listing, or any other posting, on behalf of anyone other than yourself.
- Delete or revise any material posted by any other person or entity.
- Restrict or inhibit any other user from using and enjoying the Site and services, including, without limitation, by means of "hacking" or defacing any portion of the Site.
- Post or transmit (a) any incomplete, false, or inaccurate biographical information or information that is not your own accurate resume (i.e., the resume of a living individual seeking employment on a full-time or part-time basis on his or her own behalf); (b) any content or information that is unlawful, fraudulent, threatening, abusive, libelous, defamatory, obscene, or otherwise objectionable or harmful, or that infringes on our or any third party's intellectual property or other rights; (c) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities, or other unsolicited commercial communication; (d) any information or software that contains a virus, worm, Trojan horse, or other harmful or disruptive component; (e) any trade secret of any third party; or (f) any material, nonpublic information about companies without the authorization to do so.
- Post or transmit any job or advertisement or any other posting that does not comply with applicable law including but not limited to laws relating to equal employment opportunity and employment eligibility verification; including post or transmit any job advertisement or posting that requires a visa as a condition of employment, or that requires citizenship or lawful permanent residence in a country as a condition of employment, except when necessary to comply with law, regulation, executive order, or government contract.
- Use the Site for any unlawful commercial, research, or information gathering purposes.
- Communicate, send, or place unsolicited e-mail, telephone calls, mailings, or other contacts to posting individuals and entities.
- Modify, adapt, sublicense, translate, sell, reverse engineer, decompile, or disassemble any portion of the Site.
- Remove any copyright, trademark, or other proprietary rights notices contained in the Site.
- "Frame" or "mirror" any part of the Site.
- Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents.
- Print out or otherwise copy or use any personally identifiable information about candidates for purposes other than consideration of the candidates for potential employment by your company.
Modifications and interruptions

However, we have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time, in particular in the scope of free Services.

Dispute resolution
- In the event of a dispute arising under the contract concluded on terms and conditions set forth herein, brought by either you or us (collectively, the "Parties"), the Parties will endeavor to resolve the matter amicably first. Any dispute arising under the contract and other legal action of whatever nature, shall be governed by laws of Poland, except as othervise provided by applicable law, in particular consumer law.
Final provisions

These Terms of use and any policies or operating rules posted by us on the Site constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms of use shall not operate as a waiver of such right or provision.
